Terms of Service

Leads4Leads is a division of Tip Top Recruiting LLC (“Leads4Leads,” “we,” “our,” or “us”). These Terms of Service (“ToS”) govern your access to and use of our websites, applications, and related services that link to or reference these ToS (collectively, the “Services”). By using the Services, you agree to these ToS.

If any translation of these ToS conflicts with the English version, the English version controls.

1) Who May Use the Services

You may use the Services if:

You are at least 18 years old and legally able to enter a binding contract;
You comply with these ToS and all applicable laws; and
You create and maintain an active account, if required for specific features.

If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” includes that entity.

2) Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, disclose, and protect personal data. By using the Services, you acknowledge our data practices as described there. See: Leads4Leads Privacy Policy (as provided to your developer).

3) Content & Acceptable Use

You are responsible for any content you post, submit, or otherwise provide via the Services (“User Content”) and for your conduct. Do not submit content unless you are prepared to take responsibility for it.

You agree not to use the Services to:

Post unlawful, harmful, defamatory, obscene, harassing, hateful, or otherwise objectionable content;
Infringe any third party’s intellectual property, privacy, or other rights;
Impersonate another person or misrepresent your affiliation;
Upload malware or engage in activities that disrupt or harm the Services;
Violate any applicable law;
Engage in or facilitate spam (unsolicited bulk or deceptive messaging in any medium).

We may (but have no obligation to) monitor, remove, or restrict content that violates these ToS. Your use of any content available through the Services is at your own risk.

Licenses you grant to us. By submitting User Content, you grant Leads4Leads a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, host, display, and distribute such content solely to operate, improve, and provide the Services (including facilitating referrals and networking features).

Referral/relationship data. We may derive and maintain relationship/interaction data to operate the platform (e.g., who exchanged a referral with whom, timestamps, performance metrics). Leads4Leads owns this operational data.

4) Using the Services

The Services may change over time; we may add, modify, or discontinue features at any time. You agree not to misuse the Services or access them in a way not expressly permitted by these ToS and our documentation.

We may show informational or transactional notices within the Services. We may access, preserve, and disclose account information or content if we believe it is reasonably necessary to: (i) comply with law; (ii) enforce these ToS; (iii) address fraud, security, or technical issues; (iv) respond to support requests; or (v) protect the rights, property, or safety of Leads4Leads, users, or the public.

If we offer mobile apps in the future, additional platform-specific terms may apply.

5) Your Account

Keep your login credentials confidential. You are responsible for activity under your account. Notify us immediately of any unauthorized use.

6) Fees, Payments & Subscriptions

Certain Services are paid (e.g., memberships/subscriptions). By starting a paid plan, you agree to pay all fees shown at checkout, plus applicable taxes. Prices and terms may change; we’ll disclose changes in advance where required.

Billing & Renewal. Plans may auto-renew at the then-current rate unless you cancel before the renewal date.
Failed Payments. If your payment method fails, we may suspend or terminate access until payment is resolved and may charge any costs we incur from chargebacks.
Refunds. Except where required by law or explicitly stated otherwise at purchase, fees are non-refundable.

We use PCI-compliant processors and commercially reasonable safeguards for cardholder data when applicable.

7) Intellectual Property

The Services (including text, graphics, logos, software, and design) are owned by Leads4Leads or its licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, create derivative works, reverse engineer, or otherwise exploit the Services.

Your trademarks and logos remain yours; you grant us a limited license to display them within the Services to identify your profile/business and to operate the platform.

8) No Automated Scraping/Querying

You may not use bots, scrapers, or automated means to access or query the Services without our prior written permission.

9) DMCA (Copyright) Notices

We respect intellectual property rights and respond to proper DMCA notices.

A proper DMCA notice must include:

Your physical or electronic signature;
Identification of the copyrighted work and the allegedly infringing material, with location (URL) of the material;
Your contact information;
A statement of good-faith belief that the use is not authorized; and
A statement that the information is accurate and, under penalty of perjury, that you are the copyright owner or authorized agent.

Upon valid notice, we may remove or disable access to the material. A valid counter-notice must include your signature, identification of the removed material and its location before removal, a statement under penalty of perjury of good-faith belief the removal was a mistake or misidentification, your contact details, and your consent to the jurisdiction of state or federal courts located in Florida and to accept service from the notifying party.

10) Third-Party Sites & Services

The Services may link to third-party websites or tools. We are not responsible for third-party content, products, policies, or practices. Use them at your own risk.

11) Electronic Communications

By using the Services, you consent to receive electronic communications from us (e.g., account, transactional, legal notices). You may opt out of marketing emails at any time via the unsubscribe link.

12) Representations & Warranties (By You)

You represent and warrant that: (i) you have all rights to submit your User Content and grant the license above; (ii) your content and use of the Services won’t infringe any third-party rights or violate law; and (iii) if you provide others’ personal data (e.g., referrals), you have obtained all necessary consents and will honor update/withdrawal requests.

13) Indemnification

You will defend, indemnify, and hold harmless Leads4Leads and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: (i) your use of the Services; (ii) your User Content; or (iii) your breach of these ToS or applicable law.

14) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CONTENT WILL BE ACCURATE OR RELIABLE.

15) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LEADS4LEADS OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TOS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations; in those cases, the above limits apply to the fullest extent permitted.

16) Termination

You may stop using the Services at any time. We may suspend or terminate your access (in whole or part) at any time, with or without notice, including if we believe you violated these ToS, created legal exposure, failed to pay fees, or your account remains inactive for a prolonged period. Upon termination, the rights granted to you cease immediately; sections that by nature should survive (e.g., IP ownership, indemnities, limitations of liability) will survive.

17) Governing Law; Venue

These ToS are governed by the laws of the State of Florida, without regard to conflicts of laws rules. Exclusive jurisdiction and venue lie in the state or federal courts located in Lake County, Florida. You consent to such jurisdiction and venue.

18) Miscellaneous

Severability. If any provision is unenforceable, the remainder stays in effect.
Waiver. Our failure to enforce any term is not a waiver of that term.
Assignment. You may not assign these ToS without our prior written consent. We may assign these ToS in connection with a merger, acquisition, or sale of assets.
Force Majeure. We are not liable for delays or failure due to causes beyond our reasonable control (e.g., natural disasters, labor disputes, internet outages, government actions).
No Resale. You may not resell, sublicense, or commercially exploit access to the Services except as expressly permitted.

19) Changes to These Terms

We may update these ToS from time to time. The “Effective/Last Updated” date above reflects the latest version. If we make material changes, we may provide additional notice (e.g., email or prominent notice within the Services). Continued use of the Services after changes become effective constitutes acceptance.
